Terms of Service

Article 1 (Applicability and Acceptance)

These Terms of Service (hereinafter "Terms") set forth the conditions governing the use of Persemble (hereinafter "the Service"). By downloading, installing, or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, please discontinue use of the Service.

Article 2 (Service Overview)

Persemble is a native desktop application for macOS. It integrates multiple AI providers (Claude, Gemini, ChatGPT, Ollama, LM Studio, Apple Intelligence) to enable autonomous multi-agent group chat.

The Service has the following characteristics:

• All data is stored locally on your Mac (SQLite database)
• There is no cloud synchronization functionality
• Communication with AI providers is conducted directly through your own API keys or CLI tools

Article 3 (BYOK Model and API Key Handling)

The Service adopts a BYOK (Bring Your Own Key) model. You are responsible for obtaining and managing your own API keys for each AI provider.

• API keys are stored locally in the macOS Keychain and are never transmitted to our servers
• Requests to AI providers using your API keys are sent directly from your device
• API usage fees are charged by each provider according to their pricing and are your sole responsibility
• We are not liable for any damages arising from improper API key management or provider-side outages

Similarly, if you use CLI mode (Claude CLI, Gemini CLI, Codex CLI), you are responsible for the installation, authentication, and use of those CLI tools.

Article 4 (License Grant)

Subject to the terms and conditions herein, we grant you a personal, non-exclusive, non-transferable, non-sublicensable license to install and use the Service on macOS devices.

You shall not:

• Reverse engineer, decompile, or disassemble the software
• Modify, create derivative works from, or redistribute the software
• Share, resell, or misuse license keys
• Use the Service for any unlawful purpose

Article 5 (Pricing Plans and Payment)

The Service offers the following pricing plans:

• Free Plan: No charge. Subject to limits on messages, agents, and sessions
• Starter Plan: $14.99/month or $119/year. Limits are relaxed

Payment processing is handled by LemonSqueezy (Merchant of Record). Your payment information is managed by LemonSqueezy and is never held directly by us.

For details on the features and limits of each plan, please refer to the product page or the settings screen within the app.

Article 6 (Cancellation and Refund Policy)

Cancellation:

• Paid plans may be canceled at any time
• After cancellation, paid features remain available until the end of the current billing period
• Cancellation can be processed through the LemonSqueezy customer portal

Refunds:

• Refund requests are accepted within 14 days of purchase
• Refund processing is subject to LemonSqueezy's policies
• To request a refund, please contact us at support@persemble.ai

Article 7 (Disclaimer Regarding AI Output)

The Service is a tool that integrates and displays output from multiple external AI providers. Please note the following regarding AI-generated output:

• AI output is not guaranteed to be accurate, complete, or useful
• Any decisions or actions based on AI output are taken at your own risk
• We accept no liability for any damages arising from AI output content
• Please also review the terms of service of each AI provider

Article 8 (Intellectual Property)

All intellectual property rights related to the Service (including software, design, and trademarks) are owned by us or our licensors.

Claude is a trademark of Anthropic, PBC. Gemini is a trademark of Google LLC. ChatGPT, GPT, and OpenAI are trademarks of OpenAI, Inc. Apple Intelligence is a trademark of Apple Inc. Ollama and LM Studio are trademarks of their respective owners. Persemble is not affiliated with, endorsed by, or sponsored by any of these companies.

Article 9 (Disclaimer of Warranties)

The Service is provided "AS IS". We make no warranties, whether express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will operate without interruption or error
• Warranties regarding the availability or quality of external AI providers
• Warranties regarding compatibility with CLI tools or APIs

Article 10 (Limitation of Liability)

To the maximum extent permitted by applicable law, we shall not be liable for any of the following:

• Indirect, incidental, special, punitive, or consequential damages
• Loss of profits, data, or business opportunities
• Cost of procuring substitute services

In no event shall our total liability exceed the amount you have paid for the Service in the 12 months preceding the claim.

Article 11 (Data Handling)

Regarding the handling of data within the Service:

• All data, including chat history and agent settings, is stored locally on your Mac
• We do not collect, transmit, or store your data
• API keys are encrypted and stored in the macOS Keychain; they are never sent to our servers
• When requests are sent to AI providers, each provider's privacy policy applies

You are responsible for backing up and managing your own data.

Article 12 (Changes to or Discontinuation of the Service)

We may add, modify, or remove features of the Service, or temporarily or permanently discontinue the Service, without prior notice.

We shall not be liable for any damages resulting from the discontinuation of the Service.

Article 13 (Changes to These Terms)

We may revise these Terms from time to time. In the event of material changes, we will notify you by updating this page and through in-app notifications.

Revised Terms become effective upon publication on this page. Your continued use of the Service following any changes constitutes acceptance of the revised Terms.

Article 14 (Governing Law and Jurisdiction)

These Terms shall be governed by and construed in accordance with the laws of Japan.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
